The firm represents a variety of national, state, and local lending institutions and commercial banks in real estate (commercial and residential), construction and other asset-backed loan transactions. Additionally, the firm represents a growing number of private lenders and non-bank lenders.

The firm represents clients in connection with the acquisition and/or disposition of corporate business entities and assets. Additionally, the firm routinely assists clients with the formation, filing, and registration of business entities including corporations (Subchapters S and C), general and limited partnerships, limited liability corporations (LLC’s), professional limited liability companies (PLLC’s), limited liability partnerships (LLP’s), and professional associations (P.A.’s). The firm routinely prepares and/or negotiates entity operating, partnership, shareholder and associated entity agreements.

The firm offers estate planning and health care planning services, including the preparation of wills, trusts, and ancillary estate planning documents and advance directives such as durable powers of attorney, health care surrogates, HIPAA releases and living wills. A trust becomes effective at time of execution. Our firm assists clients with all aspects of trust administration including the funding of the trust, the administration of trust assets, and with the assistance of CPA’s, the payment of taxes and expenses. Our firm also assists clients during the eventual liquidation of the trust and final distribution. Additionally, the firm prepares a variety of other estate planning and asset protection documentation to meet the needs of our clients.

The firm assists clients through the often difficult process of probating an estate. The firm handles all aspects of an estate administration for its clients in Miami-Dade, Broward, and Palm Beach counties and throughout the State of Florida. The firm assists with all aspects of the process including: preparation and filing all initial estate documents; marshaling of estate assets; settlement of creditor’s claims; winding down of the decedent’s business interest; liquidation of estate assets; distribution of estate assets and the final discharge of the estate. The firm represents diverse clientele and probates estates ranging from smaller estates and ancillary administrations to larger formal administrations.

When an individual, due to a physical or personal impairment, loses the ability to make individual decisions, a guardianship may be needed. The firm represents and counsels families and individuals through the guardianship process. The firm ensures that the rights of the alleged incapacitated person are properly addressed, that family members receive the proper guidance, and that all necessary guardianship documents are prepared and timely filed.

We regularly consult with clients on land use and zoning matters in Miami-Dade County. In certain jurisdictions, we represent clientele before zoning and/or municipal boards. Additionally, we routinely assist clientele with code enforcement lien mitigation efforts.

Our firm ensures that our clients receive necessary counseling and assists with the preparation of various advance directives including, health care documents, living wills, and ancillary documents.

The firm strategically partners with appropriate consultants, lobbyists, and other governmental-oriented firms in order to assist its clients with their business and/or legislative objectives.

We routinely assist non-Floridians (predominantly but not exclusively, those relocating from New York, New Jersey and California and other higher tax states) with the process of redomiciling to Florida and the associated documentation.

While we do not offer day-to-day condo association law services, we routinely assist South Florida condominium associations, directly and through their counsel, with services including financing for association projects including construction/repairs and special elections.
